Terms And Conditions

This agreement sets forth the terms and conditions between Scale360 Virtual Intelligence, LLC (“Scale360VI”) and the Client regarding the provision of the following services, which may include, depending on the Client's needs:

• Custom 360° Virtual Tours or Virtual Sales Platforms (including 1 year of hosting)

• Google Street View  Tours to be uploaded to the Client’s Google Business Profile

• Professional HDR Still Images

• Virtual Tour Hosting and Additional Hosting

 

Business Analytics Services - Machine Learning (e.g., data-driven insights based on Business Requirements)
Other related services as agreed in writing.

- The specific services to be provided will be identified and agreed upon in writing, based on the business data and requirements provided by the Client

Client License to Use Imagery :
- Scale360 VI hereby grants the Client a non-exclusive license to use Virtual Tours, Still Images, and other deliverables for their marketing purposes. 

 

Indemnity and Liability :
- Each party agrees to indemnify and hold harmless the other party from and against all claims, liabilities, damages, and expenses arising from or related to the provision or use of the services, except where caused by gross negligence or willful misconduct.

Limitation of Liability:
- Except for breaches of confidentiality, **neither party shall be liable for lost revenues or any indirect, special, incidental, consequential, exemplary, or punitive damages**, even if advised of the possibility of such damages.
- The aggregate liability of either party for any claims arising out of or related to this agreement shall not exceed the total amount of service fees paid.

 

No Warranties :
- Scale360 VI makes no representations and disclaims all warranties, express or implied, regarding the services or deliverables, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Service Fees :
- Unless otherwise agreed in writing, all service fees are due upon delivery of the agreed-upon services.
- The service fees will be determined in writing and must be agreed upon by both parties before scheduling a photo shoot or Analytical Solutions.

Additional Hosting :
- Custom 360° Virtual Tours or Virtual Sales Platforms include one (1) year of hosting from the date of delivery. 
- Hosting will automatically renew annually at a cost of **$50.00 per tour** unless the Client submits a written cancellation request before the renewal date. Upon cancellation, the virtual tour will be removed.
- There are **no hosting fees** for Google Street View Virtual Tours, Professional HDR Still Images, or Other Images.

Business Analytics :
- Any analytics services provided by Scale360 Virtual Intelligence, including tracking and reporting of virtual tour engagement, will be defined in writing before project delivery.
- Ownership of analytics tools and proprietary data remains with Scale360, while insights derived for the Client will be licensed for their use.

Notices :
- All notices and communications under this agreement must be sent in writing via electronic mail.

Cancellation :
- This agreement may be canceled by either party with a minimum of **three (3) days’ written notice**.
- If cancellation occurs after services have been rendered (e.g., the completion of a photo shoot), all previously agreed-upon service fees shall remain due.

 

General Provisions**:
- **Amendments:** Any modifications to this agreement must be made in writing and signed by both parties.
- **Governing Law:** This agreement is governed by the laws of the state in which Scale360 Virtual Intelligence operates.
- **Entire Agreement:** This agreement constitutes the entire understanding between Scale360 Virtual Intelligence and the Client, superseding any prior agreements.

By scheduling a photo shoot or engaging Scale360 Virtual Intelligence for services, the Client acknowledges acceptance of these terms and conditions.
